Terms of sale
Article 1 – General Provisions
1.1. Scope of the General Terms and Conditions of Sale
These General Terms and Conditions of Sale apply to all sales concluded on the website accessible at flakon.fr (the “Website”).
This online sales website is operated by WINEVERSE SAS, a simplified joint-stock company with share capital of 120 euros, registered with the Paris Trade and Companies Register under number 912 267 291, whose registered office is at 229 RUE SAINT HONORE 75001 PARIS 1.
These General Terms and Conditions of Sale apply to any purchase by a Buyer on the Website of wine in individual “by-the-glass” servings in vials (the “Products”).
The Buyer means a consumer, a non-professional or a professional. However, only consumers and non-professionals have the specific rights set out in particular in the French Consumer Code. Where the Products defined below are purchased for professional purposes, the Customer acknowledges that these rights do not apply to them.
A non-professional consumer must be a natural person aged 18 or over who enters into the contract solely for personal use, and not for commercial resale or professional purposes.
1.2. Acceptance of the General Terms and Conditions of Sale
The Buyer declares that they have read and accepted these General Terms and Conditions before placing an Order for Products. Placing an order on the Website or accepting an offer from the Company constitutes the Buyer’s full and unreserved acceptance of all the provisions of these General Terms and Conditions of Sale.
The Buyer acknowledges that their agreement to these General Terms and Conditions of Sale does not require a handwritten or electronic signature on a document.
The Company reserves the right to amend these General Terms and Conditions of Sale at any time. The applicable General Terms and Conditions of Sale will be those accepted by the Buyer when placing the order.
1.3. Validity of the General Terms and Conditions of Sale
If any provision of these General Terms and Conditions of Sale is declared wholly or partly invalid, unlawful or unenforceable, the remaining provisions will remain in force and continue to have full effect.
In accordance with Article L441-6 of the French Commercial Code, if the Customer is a business customer, these General Terms and Conditions form the sole basis for commercial negotiations. They take precedence over any general terms and conditions of purchase and any other documents issued by the Customer, regardless of their wording.
These General Terms and Conditions set out all the parties’ obligations. The Buyer is therefore deemed to accept them without reservation. These General Terms and Conditions of Sale apply to the exclusion of all other terms, particularly those applicable to in-store sales or sales through other distribution and marketing channels.
They are available on the Website and, where applicable, take precedence over any other version or conflicting document
Article 2 – Products
2.1. Product Descriptions
As a reseller of finished products from third parties, WINEVERSE SAS offers wine gift sets containing individual 10 cl vials known as “flacons”. All the flacons it resells come from suppliers based in France and Europe.
The Company takes great care to provide information online about the Products offered on the Website, particularly their essential characteristics. These are presented on each Product page, which includes, in particular, a photograph of the Product and its label, and a description. The range of Products is regularly updated and expanded according to vintages and seasons.
The photographs illustrating the products are non-contractual and do not under any circumstances give rise to liability on the part of the Company. The Buyer is therefore invited to consult each Product description for its characteristics.
The Product description is the sole source of contractual information. The Buyer is informed that the Company may update or add to Product descriptions at any time.
2.2. Product Availability
Product offers are valid while stocks last, and the Company reserves the right to impose restrictions on the quantities requested.
If Products will not be available by the latest delivery date stated in the order confirmation, the Company will offer the Buyer the choice of cancelling the order, accepting a Product of equivalent quality and price subject to stock availability, or waiting until the ordered Product becomes available and accepting a later delivery.
If one or more ordered products become permanently unavailable and this was not indicated on the Website, the Buyer will be informed as soon as possible and may cancel the order. If the Buyer cancels the order, the Company will refund the sums paid using the same payment method used for the order, within fourteen (14) days of the cancellation date.
The Company reserves the right to withdraw one or more Products from sale on the Website at any time and at its sole discretion.
Article 3 – Promotional Offers
Credits granted to the Customer through promotional offers (including referrals) can be used in the online shop and are valid for three (3) months from the date they are awarded.
Article 4 – Orders
4.1. Ordering Process
To place an order, the Buyer fills their “Basket” by clicking the “Add to basket” button for the selected Product on the Website. The Product description clearly and legibly sets out its references, characteristics, quantity and price including tax.
Each time the Buyer clicks “Add to basket”, an order summary is displayed showing the number of items, the total amount including VAT and the applicable delivery charges.
The Buyer can view their order summary at any time by clicking “View basket” and/or continue shopping by clicking “Continue shopping”.
Once the Buyer has finished selecting Products, they click “Place order” to complete their order. They can then view the order details, including the selected Products, quantities, unit prices and total price, including any delivery charges. They can change their order by clicking “Edit my purchases” or click “Continue shopping” to add to their “Basket”.
To complete the ordering process, the Buyer must, in turn:
- click the “Place order” button;
- choose a delivery method;
- confirm their delivery and billing addresses;
- read the General Terms and Conditions of Sale and explicitly accept them by clicking “I have read and accept the General Terms and Conditions of Sale”. These Terms can be viewed and downloaded from every page of the Website.
- select their payment method and pay for their order by clicking the “Proceed to payment” button, which provides access to a secure payment system.
4.2. Order Confirmation
Once an order for Products has been placed and confirmed by the Company, the Buyer receives an automated email containing the invoice and confirming that the purchase has been completed. The Buyer therefore accepts the use of email to confirm the contents of their order.
Processing of an order may be delayed in the following circumstances, without the Company being held liable: an error in the contents of the Buyer’s basket, incorrect details entered in the form, an alert generated by the online payment system, and so on. In these circumstances, which are not exhaustive, the Company’s Customer Service team will contact the Buyer directly.
Once the Company has confirmed the order, the Buyer is deemed to have knowingly and unreservedly accepted the prices, volumes and quantities of the Products ordered, as well as these General Terms and Conditions of Sale in their entirety.
In accordance with Article L.213-1 of the French Consumer Code, where an online sale amounts to 120 euros or more including VAT, the Company retains the contractual documents for 10 years and guarantees the Buyer access to them. The Buyer may request to consult them by emailing hello@flakon.com
4.3. Refusal and Cancellation of Orders
The Company may refuse all or part of a Buyer’s order if the quantity ordered or the frequency of orders appears unusual in relation to the normal needs of individual customers.
The Company reserves the right to cancel, suspend or refuse any order from a Buyer with whom it has a dispute concerning payment for an earlier order, until that order has been paid for in full.
If a Product becomes wholly or partly unavailable after an order has been placed, the Company will inform the Buyer by email and offer either to supply a Product of equivalent quality and price or to refund the price of the Product.
4.4. Order Limits
Given the rarity or speculative nature of certain Products offered on the Website, and to allow as many people as possible to benefit from the Products offered by the Company, occasional restrictions may be placed on the quantities available for purchase, Order or Subscription. In such cases, the available quantity of Products is limited per Customer (same name, same address or same account holder).
The Company may announce occasional restrictions on the Website and reserves the right to refuse an Order if it has reason to believe that the same Customer has previously placed an Order for the same Product and/or taken out a Subscription.
Article 5 – Prices and Payment Terms
5.1. Prices
Prices displayed on the Website are in euros and include duties and all taxes (VAT included). Value Added Tax is charged at the rate in force in France when the order is placed.
Product prices are those displayed on the Website on the date the Buyer confirms the order. The Company reserves the right to change the prices displayed on the Website at any time. A price change takes effect automatically on the date it is published on the Website.
Products are invoiced at a price including tax, to which the delivery charges applicable on the date of the order are added. The full price is payable when the order is placed. The full amount of the order will be collected when the order is finally confirmed.
5.2. Payment Methods
Purchases made on the Website are paid for by bank card. Bank details are entered through a secure online payment system (“SSL protocol”), which ensures the security and confidentiality of the bank details provided during the transaction.
The Buyer declares that they are authorised to use the bank card to pay for their order and have sufficient funds to do so.
The invoice will be emailed to the Buyer once payment for the order has been received.
5.3. Supporting Documents
To prevent fraud, the Company reserves the right to ask the Buyer to provide proof of identity, home address and the payment method used before confirming an order. In that case, the order will be processed once these documents have been received. The Company reserves the right to cancel the order if the documents are not received or are deemed non-compliant.
Article 6 – Retention of Title
The Company expressly retains title to the Products sold until the Buyer has paid the full price and the Company has actually received payment. The sale will therefore be considered effective only once payment has been confirmed. If the bank refuses payment, the order will be cancelled automatically and the Buyer will be notified by email.
Article 7 – Delivery and Receipt of Products
7.1. Delivery
When confirming their order, the Buyer is asked to choose a delivery method for the Products. Two delivery methods are available in mainland France:
- delivery to a collection point
- standard home delivery
The delivery methods, times and charges applicable to each destination are detailed in our shipping policy.
Applicable delivery charges are set out in the shipping policy and shown again when the order is placed. Products are delivered to the address provided by the Buyer when placing the order. The Buyer remains responsible for the accuracy and completeness of the information provided. The Buyer is therefore invited to leave directions in the “Comments” box when making a purchase on the Website. The Buyer is reminded that they are responsible for the information provided when placing an order. The Company cannot be held liable if a Product cannot be delivered because the recipient’s address details are incorrect or the Buyer has changed address without notifying the Company. Products are delivered by post within mainland France. For delivery outside mainland France, the Buyer must select the desired delivery country to view the applicable delivery methods and charges. Delivery times within mainland France are usually those of Colissimo or Mondial Relay: three (3) to five (5) working days from the date of order confirmation, subject to stock availability. Delays do not entitle the Buyer to claim damages or cancel the order. The Company asks the Buyer to report any delay beyond the delivery date stated in the order confirmation so that it can open an investigation with the carrier. The Company will inform the Buyer of the outcome of the investigation.
Deliveries outside France for any Subscription taken out or Order placed on the Website may be subject to taxes and customs duties imposed when the parcel reaches its destination. Customers are solely responsible for paying any such customs duties and taxes associated with delivery of the Products. The Company is not required to check or inform Customers of the applicable customs duties and taxes. The Company advises Customers to consult the relevant authorities in their countries for this information.
7.2. Receipt
On receiving the Product, the Buyer must check that the order is complete and in good condition, note any relevant reservations concerning visible defects (missing Product, damaged parcel, etc.) and inform the Company by email without delay. The Buyer must report any defects concerning a Product to the Company by emailing hello@flakon.com within two (2) days of receiving the Products. After this period, any claim made by the Buyer will be deemed inadmissible unless they provide a duly substantiated legitimate reason.
Article 8 – Right of Withdrawal
8.1. General Principle
The Buyer may withdraw from the purchase of the Product(s) ordered on the Website within thirty (30) calendar days of receiving the Product(s), without giving a reason or paying a penalty.
In this case, the Buyer informs the Company of their decision to withdraw by sending, before the expiry of the above-mentioned period, a duly completed withdrawal form, which the Company will provide on request, or any other unambiguous statement expressing their wish to withdraw, either by post to: 229 rue Saint-Honoré, 75001 Paris, France or by email to: hello@flakon.com.
After exercising their right of withdrawal, the Buyer must return the Product(s), in their original packaging and intact, whether unsealed or not, no later than thirty (30) days after sending their withdrawal letter or email. The Buyer is responsible for the return shipping costs. The Buyer must contact Customer Service beforehand for return instructions. Every product returned in this way must be accompanied by the delivery note received in the parcel or the invoice emailed when the parcel was dispatched.
Upon receipt of the returned product(s), the Company undertakes to refund the Buyer the price of the returned product(s) by crediting the bank card used to pay for the Product(s) (secure transaction).
8.2. Exceptions
The Company reserves the right to refuse a refund if the product(s) have diminished in value as a result of handling beyond what is necessary to establish their nature, characteristics and condition.
Only returned Products with fewer than half of their vials opened will be accepted. Consequently, returned Products with strictly more than half of their vials opened or unsealed, or with damaged labels, will be considered incomplete and will not be taken back. Any Product that has been altered will be neither refunded nor exchanged.
Article 9 – Product Warranties
The Company is liable for any lack of conformity of the Products delivered with the order under Articles L.217-7 et seq. of the French Consumer Code, and for hidden defects in the Products sold under Articles 1641 et seq. of the French Civil Code.
For any complaint concerning a defect in the Products delivered, an incorrect quantity or a Product reference that differs from the order confirmation, the Company asks the Buyer to email Customer Service at hello@flakon.com within seventy-two (72) hours of receiving the Products, without overlooking any available recourse against the carrier where necessary.
The Buyer has five (5) calendar days from delivery to return non-conforming Products to the Company’s Customer Service team. Any non-conforming Product must be returned in its original packaging, whether sealed or unsealed, together with a copy of the invoice and any other documents provided.
The time limit for bringing a claim under the statutory guarantee of conformity is two (2) years from delivery of the Products. The Buyer may choose between repair and replacement of non-conforming Products, provided that replacement does not entail a manifestly disproportionate cost for the Company in view of the Product’s value or the significance of the defect. Any lack of conformity appearing within twenty-four (24) months of delivery of a Product is presumed to have existed at the time of delivery, unless proven otherwise.
If replacement is not possible, the Company will offer the Buyer either cancellation of the order and a refund of the sums paid – except in the case of a minor lack of conformity – or the option to keep the Products and receive a partial refund. The Company will bear the cost of returning the ordered and delivered product(s), as well as any delivery costs for another product.
Any refunds or credits, including return costs, will be issued upon receipt of the Products once their lack of conformity has been duly established and accepted by the Company.
The Buyer may also invoke the warranty against hidden defects in the Products sold that render a Product unfit for its usual purpose or impair its use to such an extent that the Buyer would not have purchased it. In this case, the Buyer may choose to cancel the sale or obtain a reduction in the sale price. The time limit for bringing a claim under the statutory warranty against hidden defects is two (2) years from discovery of the defect in the Product.
Article 10 – Termination Clause
If the Buyer fails to fulfil any obligation under these General Terms and Conditions of Sale, the Company reserves the right to terminate the sale immediately upon establishing the breach, without prejudice to any claim for damages.
Article 11 – Force Majeure
The Company’s obligations will be suspended for as long as the circumstances giving rise to a force majeure event continue, as defined by Article 1240 of the French Civil Code.
Article 12 – Intellectual Property
The "Flakon Paris" trademark is being registered with the French National Institute of Industrial Property (INPI) and the European Union Intellectual Property Office (EUIPO) under number 4855931. The "Flakon Paris" trademarks and/or logo may not be used without the Company’s prior written consent.

Accordingly, they are expressly prohibited from reproducing or using all or part of the content appearing on or available through the Website, or all or part of the Website itself. Customers, Registered Users and Visitors are also prohibited from copying, modifying, altering, translating, reproducing, distributing, selling, publishing or exploiting those elements in any way, form or medium.
Furthermore, the Buyer may not create a hyperlink to the Website, any page of the Website or any file on it without the Company’s prior written consent. The Company cannot, under any circumstances, be held liable for hyperlinks between its Website and third-party websites or for the content of those websites.
Anyone (Visitor, Registered User, Customer and/or any third party) who fails to comply with any provision of this Article 18 may face legal proceedings and incur criminal and civil liability, particularly for trademark and copyright infringement.
Article 13 – Personal Data
The Company processes personal data when the Website is used and when managing and tracking Product orders placed by the Buyer through the Website. Details of this processing and Users’ rights are set out in the Company’s Privacy and Cookies Policy.
Article 14 – IT Issues
Purchasing products on the Website implies knowledge and acceptance of the characteristics and limitations of the Internet, particularly regarding technical performance and response times when accessing, requesting or transferring information. The Company cannot under any circumstances be held liable for such inconveniences.
Article 15 – Mediation
The Buyer is informed that, in the event of a dispute or complaint concerning the interpretation or performance of these General Terms and Conditions of Sale and/or the purchase of Products, they may use a conventional mediation procedure or another alternative dispute resolution method, provided that the dispute could not be resolved amicably following a prior complaint to the Company’s Customer Service team.
In accordance with the provisions of the French Consumer Code concerning “the consumer dispute mediation process”, if the Buyer has submitted a written complaint to the Company and has not received a satisfactory response or any response within two months, they may refer their complaint to a consumer mediator free of charge within one year of the initial complaint.
